Law Clerk - Commercial and Corporate Real Estate

Job Type:  Permanent full-time, In-Office Position
Location:  North York, ON

Salary:  Generous Salary - depending on experience, benefits, discretionary bonus, +

Our Client:
A renowned & award-winning homebuilder that has delivered state of the art communities across the GTA. They have been in business for over 30 years and are looking to add a skilled Law Clerk to their corporate office in North York.

Primary Responsibilities:
  • Carriage of Commercial Real Estate files from beginning to end.
  • Corporate and financing matters, including drafting various types of corporate documentation, contract review and drafting, privacy and compliance.
  • Drafting corporate documents including agreements, resolutions, complex share provisions, documents for various types of transactions including corporate and tax reorganizations, documents relating to incorporation and organization, amalgamations, complex amendments, continuances, and dissolutions
  • Review condominium documents
  • Assisting lawyers on complex transactions
  • Preparation of all related documents for purchase and sale transactions, mortgage transactions, routine loan transactions and refinancing
  • Reviewing title searches and prepare title memorandum, prepare off-title search letters, oversee off-title searches and draft requisition letters and responses.
  • Dealing directly with clients, financial institutions, municipalities, land registry offices and title insurance companies
  • Conducting due diligence and minute book reviews and preparing reports outlining issues and deficiencies
Skills and Qualifications
  • Minimum 3 years experience as a real estate law clerk (corporate and commercial) with proven knowledge of contracts and commercial paperwork
  • Excellent verbal and written communication skills, used to communicating with various stakeholders including procurement and legal, business sponsors and dealing at C level.
  • Self-motivated, independent, resourceful, proactive, tenacious and the ability to challenge the status quo.
  • Superior organizational and problem-solving skills and a professional office, client, and telephone manner.
  • Ability to work under pressure to meet deadlines, remain calm with a sense of urgency while maintaining a positive, team driven work ethic.
  • Experience working with different levels of a company including senior management and experience supporting lawyers and other law clerks.
  • Practical and proactive problem solver, analytical and detail orientated.
  • Excellent time management and organizational skills required.
  • Strong computer skills required (Microsoft Office)
  • Able to take direction and work independently, prioritize and multi-task in a fast-paced environment.
